These Terms of Service ("Terms") govern your access to and use of the website, services, and deliverables provided by Binary Intelligence Ltd ("we", "us", or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.
1. Services Overview
Binary Intelligence provides AI strategy consulting, production-grade deployment, compliance and governance advisory, and continuous optimisation services to UK enterprises and public sector organisations. Our specific engagements are defined through individual project scoping documents, statements of work, and service agreements executed with each client.
2. Acceptance of Terms
By accessing our website, requesting a consultation, or entering into a service agreement, you confirm that you understand and accept these Terms. If you do not agree with any part of these Terms, you must not use our services.
3. Eligibility
Our services are provided to organisations operating within the United Kingdom and other jurisdictions where we have lawful authority to operate. You represent that you have the legal authority to bind your organisation to any engagement or agreement entered into with us.
4. Booking and Consultations
We offer consultations and audits through third-party scheduling platforms (including Calendly). When you book an appointment:
- You provide accurate contact information and availability.
- You agree to attend scheduled sessions at the agreed time.
- Cancellations or rescheduling must be made at least 24 hours before the appointment.
- No-shows may result in a requirement to rebook without additional scheduling priority.
5. Project Engagement and Delivery
All engagement terms are governed by the applicable statement of work or service agreement, which includes scope, timelines, fees, and deliverables. Unless explicitly stated in such documentation:
- Our work is delivered collaboratively with stakeholders from your organisation.
- Project timelines are estimates and may change based on dependencies on external factors.
- Deliverables are produced for the exclusive use of the paying client unless otherwise agreed in writing.
6. Intellectual Property
Unless a written agreement states otherwise:
- Client materials: Data, systems, and intellectual property belonging to you remain your sole property.
- Our deliverables: Custom work product created for you under a paid engagement is assigned to you upon full payment, subject to the terms of the relevant agreement.
- Pre-existing IP: Our methodologies, frameworks, tools, and generic code libraries developed prior to or independently of any engagement remain our intellectual property. You receive a perpetual, non-exclusive licence to use these components as embedded in your deliverables.
- Website content: All content on this website (text, graphics, logos, images) is owned by us or used with permission and may not be reproduced without consent.
7. Fees and Payment
Fees for our services are quoted per project or engagement. Unless otherwise stated in a quotation or agreement:
- Invoices are payable within thirty (30) days of receipt.
- We reserve the right to pause work on overdue accounts until payment is received.
- All fees are quoted in British Pounds Sterling (GBP) unless agreed otherwise.
- VAT, where applicable, will be charged in addition to the quoted fees.
8. Confidentiality
We agree to treat all non-public information received from you as confidential. We will not disclose your confidential information to third parties without your prior written consent, except as required by law. This obligation survives termination of any engagement.
9. Limitation of Liability
To the maximum extent permitted by law:
- Our services are provided on an "as-is" basis consistent with the specifications in the applicable agreement.
- We do not guarantee specific business outcomes from the implementation of our recommendations.
- Our total liability for any claim arising out of or in connection with these Terms shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.
- We are not liable for indirect, consequential, or incidental damages, including loss of profit or data, to the extent prohibited by applicable law.
10. Compliance with Laws
Both parties agree to comply with all applicable laws and regulations, including but not limited to the UK GDPR, the Data Protection Act 2018, and relevant industry standards. We design our solutions to meet the requirements of UK public sector standards including the Government Digital Service (GDS) standards and the AI Safety Institute guidelines where applicable.
11. Third-Party Tools and Platforms
Our work may involve third-party tools, cloud platforms, or APIs (including but not limited to Azure, AWS, GCP, and various ML frameworks). Use of these platforms is subject to their respective terms of service and licensing agreements. We are not responsible for the operation, availability, or terms of third-party services.
12. Termination
Either party may terminate an engagement in accordance with the notice and termination provisions set out in the relevant service agreement. Upon termination, you remain liable for all fees attributable to work completed up to the date of termination.
13. User Conduct
When using our website, you agree not to:
- Misrepresent your identity or affiliation with any organisation.
- Attempt to gain unauthorised access to our systems or networks.
- Use our website for unlawful purposes or to transmit harmful or malicious content.
- Scrape, reproduce, or republish website content without our written permission.
14. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes arising under these Terms are subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory local law provides otherwise.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or prominent notice on our website. Your continued use of our services after such changes constitutes acceptance of the updated Terms.
